These Terms and Conditions ("Terms") govern your use of the website at ginzburglleg.click and your engagement with any programme or advisory service offered by Ginzburg Legal ("we", "us", "our"). Please read them carefully before making an enquiry or registering for a programme. By using this website or engaging with any of our services, you agree to these Terms.

1. Definitions

  • "Agreement" means these Terms and Conditions together with any engagement letter or programme confirmation sent to you.
  • "Service" means any programme, advisory engagement, or educational resource offered by Ginzburg Legal, including the Startup Documentation Literacy Program, the Knowledge Base Build for Small Teams, and the Growth-Stage Operations Advisory.
  • "User" means any individual or organisation that accesses this website or engages with a Service.
  • "Content" means all materials produced or delivered in the course of a Service, including templates, documents, articles, session notes, and written operating models.
  • "We / Us / Our" refers to Ginzburg Legal, operating from 424 rue Saint-François-Xavier, Montréal, QC H2Y 2S9, Canada.

2. Acceptance of Terms

By submitting an enquiry form, entering into an engagement, or continuing to use this website, you confirm that:

  • You are at least 18 years of age, or have the legal capacity to enter into a binding agreement in your jurisdiction.
  • Where you are acting on behalf of a business or organisation, you have the authority to bind that entity to these Terms.
  • You have read and understood these Terms and agree to be bound by them.

If you do not agree with any part of these Terms, please do not use this website or engage with our Services.

3. Service Description

Ginzburg Legal offers the following programmes and advisory engagements:

  • Startup Documentation Literacy Program — A general education programme delivered across three 2-hour sessions covering how business records, document registers, and data rooms are typically organised. Includes a document register template, a folder structure, and a readiness checklist. CAD 200 per enrolment.
  • Knowledge Base Build for Small Teams — A 5-week engagement covering information audits, article structure, tagging schemes, ownership assignment, and review cadences. Includes twenty pilot articles and a training session. Suited to teams of 5 to 40. CAD 550 per engagement.
  • Growth-Stage Operations Advisory — A 10-week B2B advisory engagement covering organisational structure, meeting cadence, document routines, onboarding design, and internal communication. Includes discovery, two workshops, a written operating model, and a three-month review session. CAD 990 per engagement.

All Services are delivered remotely unless otherwise agreed in writing. Services are available to clients based in Canada and internationally, subject to scheduling availability.

4. User Responsibilities

When using this website or engaging with a Service, you agree to:

  • Provide accurate and complete information in any enquiry form or during the course of an engagement.
  • Attend scheduled sessions punctually and notify us with reasonable advance notice if you need to reschedule.
  • Use all Content and materials delivered as part of a Service for your own internal purposes only, unless otherwise agreed in writing.
  • Not reproduce, distribute, or share any Content with third parties without our prior written consent.
  • Not use this website or any Service for any unlawful purpose or in a manner that could cause harm to others.
  • Not attempt to gain unauthorised access to any part of this website or our systems.

5. Intellectual Property

All Content on this website — including text, design, structure, and graphics — and all materials produced in the course of a Service are the intellectual property of Ginzburg Legal unless otherwise stated.

Upon full payment for a Service, we grant you a limited, non-exclusive, non-transferable licence to use the Content delivered to you for your own internal operational purposes. This licence does not permit:

  • Commercial resale or redistribution of any Content;
  • Reproduction of templates or documents for use in providing services to third parties;
  • Modification and redistribution of Content under a different brand or identity.

All rights not expressly granted remain with Ginzburg Legal.

6. Payment Terms

All fees are quoted and payable in Canadian Dollars (CAD). Current programme fees are:

  • Startup Documentation Literacy Program — CAD 200
  • Knowledge Base Build for Small Teams — CAD 550
  • Growth-Stage Operations Advisory — CAD 990

Payment terms are confirmed in the engagement letter. In most cases, full payment is due prior to the commencement of a programme. For multi-week engagements, a staged payment schedule may be agreed in writing.

Accepted payment methods: Electronic funds transfer (EFT) and credit card. Details are provided upon confirmation of an engagement.

Rescheduling and cancellation: Sessions may be rescheduled with at least 48 hours' notice at no charge. Cancellations with less than 48 hours' notice may result in forfeiture of that session's fee. If you wish to withdraw from a programme before it begins, please contact us at [email protected]; we will consider refund requests on a case-by-case basis.

7. Engagement Terms

The scope of each engagement is set out in the engagement letter or programme confirmation sent to you prior to commencement. Key terms include:

  • Scope: Any work outside the agreed scope requires a written amendment and may involve additional fees.
  • Timelines: Delivery timelines are estimates. We will make reasonable efforts to meet them, but delays resulting from your failure to provide information, attend sessions, or respond in a timely manner are not our responsibility.
  • Deliverables: All deliverables described in the programme specification are included. Additional custom documents or articles beyond the agreed volume are out of scope.
  • Your cooperation: Many deliverables require your active participation. We rely on the information and access you provide; the quality of outputs reflects the quality of that input.

8. Confidentiality

We treat all information you share with us during an engagement as confidential. We will not disclose it to third parties except where required by law, or with your written consent.

We ask that you treat any working drafts, frameworks, or proprietary methodologies we share with you as confidential to your organisation. These materials are provided to help you build internal capacity and are not intended for external distribution.

9. Disclaimers

All Services are provided for general educational and operational purposes only. Nothing in any programme or advisory engagement constitutes legal advice, and no solicitor-client or lawyer-client relationship is formed.

We do not make any representation that the information, templates, or frameworks delivered will be suitable for your specific circumstances or will produce particular outcomes. You are responsible for obtaining appropriate professional advice — legal, financial, or otherwise — before acting on any information provided.

This website and its content are provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of fitness for a particular purpose or non-infringement.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Ginzburg Legal's total liability to you arising from or in connection with any Service shall not exceed the amount you paid for that specific Service.

We are not liable for:

  • Indirect, consequential, or incidental losses;
  • Loss of profits, revenue, or anticipated savings;
  • Loss of data or business opportunity;
  • Losses arising from your reliance on Content without independent professional advice.

Nothing in these Terms limits liability that cannot be excluded under Canadian law, including under consumer protection legislation.

11. Indemnification

You agree to indemnify and hold harmless Ginzburg Legal, its team members, and contractors from any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms, your misuse of any Content, or any misrepresentation you make in connection with an engagement.

12. Termination

By you: You may withdraw from a programme at any time by notifying us in writing at [email protected]. Any fees already paid for sessions or deliverables that have been completed are non-refundable.

By us: We reserve the right to terminate an engagement if you breach these Terms, fail to make payment when due, or engage in conduct that makes it impractical to continue. In such cases, we will provide written notice.

Survival: Sections 5 (Intellectual Property), 8 (Confidentiality), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Dispute Resolution) survive termination.

13. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein.

In the event of a dispute, you agree to first contact us at [email protected] to seek an informal resolution. We will endeavour to respond within 10 business days and work with you toward a reasonable outcome.

If an informal resolution is not reached, either party may submit the dispute to mediation administered by a mutually agreed mediator in Montréal, Québec, before resorting to litigation. The courts of Québec shall have non-exclusive jurisdiction over any proceedings that proceed beyond mediation.

14. General Provisions

  • Entire agreement: These Terms, together with any engagement letter, constitute the entire agreement between us regarding the subject matter hereof and supersede all prior discussions.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to do so in the future.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign ours in connection with a merger, acquisition, or sale of assets.
  • Notices: Any formal notices must be sent in writing to [email protected] or by post to our Montréal address.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify active clients.

Your continued use of this website or any Service after an update constitutes your acceptance of the revised Terms.
